A.  INTRODUCTION

These Terms govern: the use of G Entertainment, and, any other related Agreement or legal relationship with the Owner in a legally binding way. Capitalised words are defined in the relevant dedicated section of this document. The User must read this document carefully. G Entertainment aims to provide a platform that may also foster self-awareness and understanding, contributing positively as a social impact. The Service/G Entertainment is mainly intended for Consumers, but casual browsers and those who find our platform entertaining or relaxing are welcome.

Although the entire contractual relationship relating to Products offered is entered into solely by the Owner and Users, Users acknowledge and agree that, where G Entertainment has been provided to them via the Apple App Store, Apple may enforce these Terms as a third-party beneficiary.

G Entertainment Limited is a company incorporated in the Hong Kong Special Administrative Region with limited liability.

"G Entertainment" refers to:

this website, including its subdomains and any other website through which the Owner makes its Service available; applications for mobile, tablet and other smart device systems; the Application Program Interfaces (API); the Service; any applications, sample and content files, source code, scripts, instruction sets or software included as part of the Service, as well as any related documentation;

C.  IMPORTANT POLICIES

Please be aware that your use of G Entertainment is also governed by our separate:

-        Privacy Policy: Details how we handle your personal data.

-        Cookie Policy: Explains our use of cookies.

-        Takedown Policy: Outlines the procedure for addressing content-related complaints and disputes. This policy takes precedence in relevant dispute scenarios as detailed under the "K. DISPUTE RESOLUTION" section.

We encourage you to read these policies carefully.

D.  DEFINED TERMS

In these Terms of Use, the below definitions apply unless otherwise specified. If any translated versions contradict this English version, the English version shall prevail.

Agreement: Any legally binding or contractual relationship between the Owner and the User, governed by these Terms.

Brazilian (or Brazil): Applies where a User, regardless of nationality, is in Brazil.

Consumer: Any User qualifying as such under applicable law.

Coupon: Any code or voucher, in print or electronic form, allowing the User to purchase a Product at a discounted price.

Digital Product: Consists of content supplied in digital form or a service allowing digital data interaction.

European (or Europe): Applies where a User, regardless of nationality, is in the EU.

G Entertainment (or this Application): The property (website, apps, APIs etc.) enabling the Service provision.

Owner (or We): G Entertainment Limited, the legal entity providing G Entertainment and/or the Service.

Product: A good or service available via G Entertainment (e.g., physical goods, digital files, software, booking services), including Digital Products.

Service: The service provided by G Entertainment as described in these Terms and on G Entertainment.

Terms: All provisions applicable to the use of G Entertainment and/or the Service as described herein, including related documents, as updated.

United Kingdom (or UK): Applies where a User, regardless of nationality, is in the United Kingdom.

User (or You): Any natural person or legal entity using G Entertainment.

Virtual Currency: A non-monetary asset (codes, tokens, etc.) usable only within G Entertainment to purchase specific Products under Owner-specified conditions.

 E.  TERMS OF USE

Unless otherwise specified, these terms apply generally when using G Entertainment. Specific scenarios might have additional conditions indicated within this document.

By using G Entertainment, Users confirm they meet the following requirements (unless waived in writing):

Ø   Acting as a Consumer (not for commercial/business purposes) OR Browse casually.

Ø   Are 18 years of age or older.

Ø   Are not located in a U.S. government embargoed country or one designated as "terrorist-supporting".

Ø   Are not listed on any U.S. government list of prohibited or restricted parties.

How G Entertainment Works

G Entertainment primarily serves as a technical infrastructure allowing Users to interact. The Owner is not directly involved in such interactions but may provide additional services like packaging, shipping, or facilitating dispute resolution.

Account Registration

Users may register an account by providing complete and truthful information, or use the Service without an account (potentially limiting features). Users are responsible for keeping login credentials confidential and safe, using strong passwords. Users agree to be fully responsible for all activities under their account. Inform the Owner immediately (via contact details herein) if personal information or account credentials are suspected to be compromised.

Account registration conditions:

No bots/automated methods; typically one account per User; accounts cannot be shared unless explicitly permitted.

Account Termination, Suspension, and Deletion

Termination by User: Users can terminate their account anytime by contacting the Owner.

Suspension/Deletion by Owner: The Owner reserves the right, at its sole discretion and without notice, to suspend or terminate accounts if the User violates Terms, poses a risk, violates laws/regulations, due to legal/governmental investigation, or if the account/use is deemed inappropriate, offensive, or violates Terms.

Suspension/deletion does not entitle Users to compensation/damages/reimbursement and does not exempt Users from paying applicable fees.

Content on G Entertainment

Ownership: Unless otherwise specified, all content available is owned or provided by the Owner or its licensors. The Owner strives to ensure content doesn't infringe laws or third-party rights. Report complaints via contact details herein.

Rights Reserved: The Owner holds all intellectual property rights. Users may not copy, download, share (beyond specified limits), modify, translate, publish, sell, sublicence, etc., content without permission, except where explicitly stated for personal, non-commercial use with correct attributions. Statutory copyright limitations/exceptions remain unaffected.

Content Provided by Users: Users can upload/share their own content if legally allowed and non-infringing. By providing content, Users grant the Owner a non-exclusive, worldwide, royalty-free, perpetual, sub-licensable, transferable license to use, modify, distribute, etc., such content to provide and promote the Service. Users waive moral rights where permitted by law. User-provided content is subject to the same conditions as Owner's content.

Liability for Provided Content: Users are solely liable for their content. The Owner is not obligated to filter/moderate but reserves the right to remove/delete/block content at its discretion (e.g., upon violation notice, infringement claim, public authority order, risk assessment). Removal is governed by the separate Takedown Policy. Users agree to indemnify the Owner against claims/damages arising from their provided content.

Access to External Resources

G Entertainment may link to third-party resources (e.g., advertisements). The Owner has no control over these, is not responsible for their content/availability, and interactions are governed by third-party terms. Clicking ads means interacting with the third-party advertiser.

Acceptable Use

Use G Entertainment and the Service only within their intended scope, under these Terms and applicable law.

Users are solely responsible for ensuring their use violates no laws, regulations, or third-party rights.

The platform may host diverse content, potentially including themes related to LGBTQ+ identities or content considered adult in nature, aimed at promoting self-awareness and open discussion. All user-generated content must adhere to the acceptable use standards outlined here and is subject to the Takedown Policy.

The Owner reserves the right to take appropriate measures (denying access, terminating contracts, reporting misconduct) if Users engage or are suspected of:

Ø   Violating laws, regulations, or these Terms;

Ø   Infringing third-party rights;

Ø   Considerably impairing the Owner’s legitimate interests;

Ø   Offending the Owner or any third party.

F.   TERMS AND CONDITIONS OF SALE

Paid Products

Some Products require payment. Fees, duration, and conditions are described below and in dedicated sections of G Entertainment.

Product Description

Prices, descriptions, and availability are outlined on G Entertainment and subject to change without notice.

Representations (graphics, images, colours, sounds) are for reference only and imply no warranty about the purchased Product's characteristics. Chosen Product characteristics are outlined during purchase.

Purchasing Process

Select desired Product (specify quantity/characteristics).
Review selection, modify, add instructions (e.g., gift receipt).
Proceed to checkout.
Provide contact details, billing/shipping address, choose shipping/payment method.
Review order carefully, apply any Coupons.
Confirm and submit the order, accepting these Terms and committing to pay.
Order Submission & Acceptance

Submission

Constitutes an offer to purchase, creating an obligation to pay and cooperate if needed (e.g., providing personal data). A receipt acknowledging order reception will be sent but usually doesn't constitute acceptance.

Acceptance

The purchase contract is formed when the User receives the communication of order acceptance from the Owner. Acceptance is subject to availability and Owner discretion. Rejection doesn't entitle User to claims/damages.

Prices, Offers, and Discounts

Users are informed of all fees, taxes, and costs (including delivery) before order submission. Prices are displayed either inclusive or exclusive of these, depending on the section browsed.

Offers/discounts are subject to eligibility criteria and terms set out on G Entertainment, granted at the Owner’s sole discretion, create no future claim, and may be time-limited or while stocks last (referencing Owner's time zone unless specified).

Methods of Payment

Accepted methods are shown during purchase. Some may have additional conditions/fees detailed on G Entertainment.

Payments marked accordingly are managed directly by the Owner, who stores necessary data (see Privacy Policy).

Other methods are managed by third-party services; the Owner receives notification upon successful payment but collects no payment details (e.g., credit card numbers).

If payment fails, the Owner is not obliged to fulfil the order and reserves the right to claim related expenses/damages.

Virtual Currency

May be used for certain payments within G Entertainment only.

Not tradable, exchangeable, or redeemable for traditional currency or other values outside the Service. Cannot be transferred, purchased, sold, or exchanged outside the Service. Prohibited transactions are void and may lead to legal action. Unused Virtual Currency is forfeited upon contract/account termination attributable to the User; no refund granted.

Authorization for Future PayPal Payment

If authorized, G Entertainment stores an identification code linked to the User's PayPal account for automatic future/recurring payments. Authorization can be revoked anytime via Owner contact or PayPal settings.

Purchase via App Store

Purchases via third-party app stores (Apple App Store, Google Play) require following store instructions and are subject to the third-party's terms, which prevail over these Terms in case of conflict. Users must read and accept those terms.

Retention of Ownership & Usage Rights

Ownership: Product ownership transfers to the User only upon full payment receipt by the Owner.

Usage Rights: Users acquire rights to use the purchased Product only upon full payment receipt by the Owner.

Delivery

Physical Goods: Delivered to the address indicated, per order summary. Verify content upon delivery and report anomalies promptly. Refuse visibly damaged parcels. Delivery available to countries listed in the original document. Delivery times specified on G Entertainment or during purchase (aiming for within 30 days unless otherwise specified/agreed).

"Click and Collect": Option to collect at designated points per communicated timeframe.

Arranged Delivery: Users may arrange pickup by their own carrier at their own risk/expense, subject to prior Owner agreement.

Failed Delivery: Owner not responsible for errors due to User inaccuracies or delays after handover to User-arranged carriers. If goods aren't received/collected, they'll be returned; Owner will contact User for redelivery (second attempt usually at User's expense) or next steps.

Delivery Subject to Conditions: Certain Products (e.g., age-restricted) may require proof of meeting conditions upon delivery. Failure may prevent delivery.

Digital Content: Delivered via download to User's chosen device(s), which must meet specified technical requirements. Download availability may be limited in time/space.

Performance of Services

Performed/made available within the timeframe specified on G Entertainment or communicated before order submission.

Provision of Personal Data

Accessing some Products/Services may require providing personal data as indicated on G Entertainment.

G.  USER RIGHTS

Right of Withdrawal (European Consumers & General Policy)

Applies primarily to European Consumers for distance contracts but extended contractually as a general policy on G Entertainment. Unless exceptions apply, Users may withdraw within a specified period (generally 14 days statutory, extended contractually - see below) for any reason without justification.

Exercising the Right: Send an unequivocal statement of intent to withdraw (e.g., using the model form below, or other suitable means) to the Owner before the withdrawal period expires.

Withdrawal Period Expiry:

Goods: 14 days after physical possession by User/designated third party (or possession of the last item for orders delivered separately).

Services: 14 days after contract entry, unless waived.

Digital Content (not tangible): 14 days after contract entry, unless waived.

Effects of Withdrawal: Owner reimburses all payments (including standard delivery costs) without undue delay (max 14 days from withdrawal notice). Reimbursement via original payment method unless agreed otherwise; no fees for User.

Physical Goods: User returns goods within 14 days of withdrawal notice (unless Owner offers collection). Reimbursement may be withheld until goods received or return proof provided. User bears return costs and is liable for diminished value beyond necessary handling.

Services: If service requested before withdrawal period ends, User pays proportionally for service provided until withdrawal.

Exceptions (Statutory): Right does not apply to goods inseparably mixed after delivery; newspapers/periodicals (except subscriptions); sealed goods unsealed after delivery unsuitable for return due to health/hygiene.

Contractual Withdrawal Period Extension: Owner grants a contractual right to withdraw within 90 days, subject to the same conditions as the statutory right.

UK User Rights (Right to Cancel)

Applies to Consumers in the UK for distance contracts. General period is 14 days.

Exercising the right and effects are broadly similar to the EU Right of Withdrawal described above (14-day period, reimbursement conditions, user bears return costs).

Brazilian User Rights (Right of Regret)

Applies to Consumers in Brazil for distance/off-premises contracts. Period is 7 days from contract entry or product/service receipt.

Exercising the right and effects are broadly similar to the EU Right of Withdrawal, but the regret period is 7 days, and the Owner bears the costs of returning goods. Reimbursement max 14 days from regret notice or product return (whichever is later).

H.  GUARANTEES

EU Legal Guarantee (Goods & Digital Products): Minimum 2-year guarantee of conformity from delivery (or entire supply period for continuously supplied digital products >2 years) for European Consumers, per laws of their habitual residence. National laws may grant broader rights. Non-European Consumers may have rights per their country's legislation.

UK Conformity Right: UK Consumers have a right to receive goods conforming to the contract.

Brazilian Legal Guarantee (Goods & Services): Per Consumer Protection Code: 30-day guarantee for non-durable goods/services; 90-day guarantee for durable goods/services, starting from delivery (goods) or end of performance (services). Not applicable for misuse, natural events, or non-Owner maintenance. Claim via Owner contact channels; Owner bears shipping for assessment if needed. Contractual warranty may be offered additionally per G Entertainment specifications.

Money-Back Guarantee (Goods): Owner grants a 90-day money-back guarantee from delivery if unsatisfied. Send unambiguous notice (reason requested but not required). Return goods undamaged, clean, in original packaging at User's expense within the 90 days. Owner verifies conditions and refunds price via original payment method. Does not affect statutory rights.

After-Sales Assistance

Provided as described in relevant sections of G Entertainment.

I.     LIABILITY AND INDEMNIFICATION

Liability: Unless explicitly stated or agreed, Owner’s liability for damages related to the Agreement is excluded/limited to the maximum extent permitted by applicable law.

Indemnification (General): User agrees to indemnify Owner (and affiliates, etc.) against claims/demands (including legal fees) by third parties due to culpable violation of Terms, third-party rights, or laws by the User connected to Service use, to the extent allowed by law. Applies also to claims against Owner regarding User-provided Digital Products (e.g., conformity).

Limitation of Liability (User Activities): Owner provides technical infrastructure; does not intermediate/moderate/promote User interactions/agreements. Owner bears no liability for User interactions or performance of User obligations (including sales between Users).

General Limitation: Unless otherwise stated and without prejudice to law, Users have no right to claim damages against Owner, EXCEPT for damages to life/health/physical integrity, breach of essential contractual obligations, or damages from intent/gross negligence (if G Entertainment used correctly). Liability (except for intent/gross negligence/life/health/integrity) limited to typical foreseeable damages at contract time. 

Australian Users:

Nothing excludes/restricts/modifies non-excludable rights under Competition and Consumer Act 2010 (Cth) or similar laws. Liability (including for breach of non-excludable right) limited at Owner's discretion to re-performance of services or cost of re-supply.

US Users:

Disclaimer of Warranties: G Entertainment provided "AS IS" and "AS AVAILABLE". Use is at User's risk. Owner disclaims all warranties (express, implied, statutory), including merchantability, fitness for purpose, non-infringement. No advice/information creates warranty unless stated. Owner doesn't warrant content accuracy, service meeting requirements, availability, security, error correction, or freedom from viruses. Downloads are at User's risk. Owner not responsible for third-party products/services advertised/offered. Service may not work with all devices/systems. Exclusions may not apply where prohibited by law.

Limitations of Liability: To maximum extent permitted, Owner (and affiliates, etc.) NOT liable for indirect, punitive, incidental, special, consequential, exemplary damages (incl. lost profits, goodwill, data); damage from hacking/unauthorised access; content errors; personal injury/property damage from access/use; unauthorised server access; transmission interruption; bugs/viruses; content errors/omissions; defamatory/offensive/illegal conduct of Users/third parties. Liability capped at amount paid by User to Owner in preceding 12 months or agreement duration (whichever shorter). Applies fully unless prohibited by law. Exclusions may not apply in all jurisdictions.

Indemnification (US): User agrees to defend, indemnify, hold Owner (and affiliates, etc.) harmless from claims, damages, losses, costs (incl. legal fees) arising from User's access/use, violation of terms (incl. representations/warranties), violation of third-party rights (privacy, IP), violation of law, content submitted from User's account (incl. misleading/false info), willful misconduct, or statutory provision violation by User/affiliates.

J.    COMMON PROVISIONS

No Waiver: Owner’s failure to assert a right/provision is not a waiver. Waiver requires specific action and isn't continuous.

Service Interruption: Owner reserves right to interrupt Service for maintenance/updates (informing Users). May suspend/discontinue Service altogether (cooperating with Users for data withdrawal/rights per applicable law). Service may be unavailable due to force majeure.

Service Reselling: Users may not reproduce, duplicate, copy, sell, resell, exploit G Entertainment/Service without prior express written permission from Owner (directly or via legitimate program).

Privacy Policy: Refer to the separate Privacy Policy for personal data use details.

Intellectual Property Rights: All IP rights (copyrights, trademarks, patents, designs) related to G Entertainment are exclusive property of Owner or licensors, protected by laws/treaties. All trademarks/marks/logos are exclusive property of Owner/licensors.

Changes to these Terms: Owner reserves right to amend/modify Terms. Users will be appropriately informed. Changes affect relationship from communicated date onwards. Continued use signifies acceptance. If Users reject changes, they must stop using Service/may terminate Agreement. Previous version governs prior relationship (obtainable from Owner). Advance notice if legally required. Versions kept for max 7 years.

Assignment of Contract: Owner may transfer/assign/novate/subcontract rights/obligations under Terms (considering User interests). Users may not assign/transfer rights/obligations without Owner's written permission.

Contacts: Communications regarding G Entertainment use must use contact info stated herein. 

Severability:

General: If a provision is invalid/unenforceable, it won't affect remaining valid provisions.

US Users: Invalid/unenforceable provision interpreted/reformed to be valid, enforceable, consistent with intent. Terms are entire Agreement, supersede prior communications. Enforced fully.

EU Users: Parties will amicably seek valid/enforceable substitute. If failed, replaced by applicable statutory provisions if permitted. Nullity doesn't void entire Agreement unless provision is essential or remaining parts cause unacceptable hardship.

Governing Law: Governed by Hong Kong SAR law, without regard to conflict of laws principles.

Prevalence of National Law: Higher consumer protection standards in User's country prevail if applicable.

Exception (Switzerland): Swiss law applies for Swiss Consumers.

Exception (Brazil): Brazilian law applies for Brazilian Consumers if product/service commercialised in Brazil.

Venue of Jurisdiction: Exclusive competence lies with Hong Kong SAR courts.

Exception (Europe/UK/CH/NO/IS): Does not apply to European Consumers or Consumers in UK, Switzerland, Norway, Iceland.

Exception (Brazil): Does not apply to Brazilian Consumers.

K.  DISPUTE RESOLUTION

IMPORTANT:

Disputes related to content (e.g., infringement claims, violations of acceptable use) are handled strictly according to the separate Takedown Policy. Users MUST follow the procedures outlined in the Takedown Policy for such issues. The provisions below under "Amicable Dispute Resolution" and "Online Dispute Resolution" DO NOT apply if the matter falls under the scope of the Takedown Policy. The Takedown Policy process must be initiated and concluded first for relevant disputes. Attempting legal action against G Entertainment Limited (or affiliates, etc.) in any jurisdiction outside Hong Kong SAR, or without first following the applicable dispute resolution process (including the Takedown Policy where relevant), may be considered a material breach of these Terms.

Amicable Dispute Resolution (for matters outside the Takedown Policy scope)

Users may bring disputes to the Owner first. Contact the Owner (details herein) with a brief description (and order/account details if applicable). Owner will process complaints without undue delay (within 2 days of receipt). User's right to take legal action remains unaffected.

Online Dispute Resolution for Consumers (European Economic Area)

For European Consumers (or those in Norway, Iceland, Liechtenstein), the European Commission provides an online platform for resolving disputes from online contracts out-of-court: https://ec.europa.eu/consumers/odr/

L.  ETHICAL AI POLICY

At G Entertainment (the "Company"), we are committed to the ethical, responsible, and legally compliant use of Artificial Intelligence (AI). This Ethical AI Policy outlines our guidelines for the development, deployment, and management of AI systems, ensuring they align with internal standards and external regulations, including the EU Artificial Intelligence Act (EU AI Act). This policy applies to all AI systems used by the Company, including those for promotional materials, photobook creation, and sales. 

1. Purpose

This policy defines the Company’s approach to managing AI systems responsibly while addressing ethical considerations and regulatory compliance. It sets forth processes to ensure AI is used transparently, fairly, and lawfully, both internally and in compliance with regulations such as the EU AI Act.

2. Definitions

AI System: A machine-based system generating outputs (content, predictions, recommendations, decisions) influencing environments. Includes machine learning, deep learning, generative AI.

Generative AI: AI systems producing new content (text, images, etc.) based on training data.

AI Tool: Software/platform/service incorporating AI functionality.

Digital Asset: Electronic file/resource created/enhanced/managed using AI.

High-Risk AI System: As defined by EU AI Act (e.g., safety components, critical infrastructure, law enforcement uses). List reviewed regularly.

3. Legal Compliance

3.1. EU AI Act: Company ensures compliance via conformity assessments, technical documentation, incident reporting for high-risk systems.

3.2. Other Regulations: Policy updated for emerging AI regulations globally

4. Ethical and Responsible Use of AI

4.1. Transparency: Disclose AI use where appropriate; comply with EU AI Act transparency obligations for high-risk systems.

4.2. Fairness and Non-Discrimination: Regular audits to mitigate bias; strive for inclusive datasets.

4.3. Accuracy and Reliability: Quality control measures; regular review of outputs.

4.4. Human Oversight: Maintained for all AI systems, especially high-risk ones.

5. Data Privacy and Security

5.1. Data Protection: Comply with GDPR, Hong Kong PDPO; responsible data handling.

5.2. Data Security: Robust measures to protect AI systems, data, outputs.

6. Intellectual Property

6.1. Ownership: Digital assets created by employees using Company AI tools are exclusive property of G Entertainment Limited.

6.2. Third-Party Tools: Adhere to provider terms (IP, licensing).

7. Development and Deployment of AI Systems

7.1. Risk Management: Comprehensive process throughout AI lifecycle, especially for high-risk systems.

7.2. Impact Assessments: DPIAs (GDPR), FRIAs (ethics) for high-risk systems.

7.3. Technical Documentation: Detailed records for all AI systems (especially high-risk).

7.4. Conformity Assessments: Conducted for high-risk systems before deployment per EU AI Act.

7.5. Incident Reporting: Prompt reporting for high-risk system incidents posing risks per EU AI Act.

8. Training and Awareness

8.1. Employee Training: Provided on ethical AI, risk management, compliance, regulations (EU AI Act, etc.). Updated regularly.

9. Policy Review and Updates

Policy reviewed/updated annually or more frequently as needed (tech/regulation changes).
